Terms & Conditions

1. Acceptance of Terms

By installing or using any ShopRail app ("Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not install or use the Service.

These Terms apply to all ShopRail apps available on the Shopify App Store: Auto-Tagger, Discount Scheduler, and Stock Alerts.

2. Description of Service

ShopRail provides Shopify automation tools for merchants:

  • Auto-Tagger — automatically applies tags to orders, customers, and products based on configurable rules.
  • Discount Scheduler — schedules sale prices and discount codes to activate and deactivate at specified times.
  • Stock Alerts — monitors inventory levels and sends notifications when stock drops below configured thresholds.

The Service operates via the Shopify API and requires an active Shopify store. We reserve the right to modify, suspend, or discontinue features of the Service at any time with reasonable notice.

3. Eligibility

You must have an active Shopify store and agree to Shopify's Terms of Service to use ShopRail. You must be at least 18 years of age and have authority to bind any business you represent.

4. Subscriptions and Billing

Free tier

ShopRail apps are available with a free tier subject to usage limits described in the app and at shoprail.io. No credit card is required for the free tier.

Paid plans

Paid subscriptions (Single App Pro and ShopRail Suite) are billed monthly through Shopify's billing system. Charges appear on your Shopify invoice.

  • Single App Pro: £7.99/month — unlimited access to one ShopRail app.
  • ShopRail Suite: £17.99/month — unlimited access to all ShopRail apps.

Free trial

Paid plans include a 7-day free trial. You will not be charged until the trial ends. You may cancel during the trial period with no charge.

Cancellation

You may cancel your subscription at any time from the billing page within any ShopRail app. Upon cancellation, your subscription remains active until the end of the current billing period, after which your account reverts to the free tier. No refunds are issued for partial billing periods.

Price changes

We may change subscription prices with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new price.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of Shopify's Partner Programme policies.
  • Attempt to gain unauthorised access to our systems or any other user's data.
  • Reverse engineer, decompile, or attempt to extract source code from the Service.
  • Use the Service to send spam, phishing communications, or unsolicited messages.
  • Resell, sublicense, or otherwise commercialise the Service without our written consent.
  • Interfere with the operation of the Service or place an unreasonable load on our infrastructure.

6. Your Responsibilities

You are responsible for:

  • Ensuring your use of the Service complies with all applicable laws, including data protection laws (UK GDPR, GDPR).
  • Configuring rules, schedules, and alerts correctly. ShopRail executes automations based on your configuration — we are not responsible for unintended outcomes resulting from misconfiguration.
  • Testing rules using dry-run mode before enabling them on live data.
  • Maintaining the security of any webhook URLs you configure for notifications.
  • Backing up any data you consider critical before enabling automations that modify orders, products, or prices.

7. Intellectual Property

All rights, title, and interest in the ShopRail Service — including software, designs, trademarks, and documentation — remain the exclusive property of ShopRail. These Terms do not grant you any ownership rights.

You retain ownership of your store data. By installing the Service, you grant ShopRail a limited licence to access and process your store data solely to provide the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or that automations will execute at exact scheduled times. Shopify API availability and rate limits are outside our control.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPRAIL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

Our total aggregate liability to you for any claims arising from these Terms or your use of the Service shall not exceed the total fees you paid to ShopRail in the 3 months preceding the claim.

10. Indemnification

You agree to indemnify and hold ShopRail harmless from any claims, losses, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service immediately and without notice if you breach these Terms, engage in fraudulent activity, or if required by law.

You may terminate at any time by uninstalling the ShopRail app from your Shopify store. Termination does not entitle you to a refund of any prepaid fees.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the ShopRail app dashboard or by email at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
